The rules and guidelines for using the Seedly platform

Acceptance of Terms

By accessing or using the Seedly platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Seedly. Please read them carefully before creating an account or using any of our services.

About Seedly

Seedly is a crowdfunding platform based in Belgium that connects local communities with entrepreneurs opening new venues such as cafés, restaurants, bars, bookshops, gyms, and other local businesses. Backers support campaigns before a venue opens and receive perks and consumption credits in return.

Seedly acts as an intermediary platform. We facilitate the connection between campaign creators and backers but are not a party to the agreements between them. We do not guarantee the success of any campaign or the delivery of any perk.

Account Registration

To use certain features of the Platform, you must create an account. When registering, you agree to:

  • Provide accurate and complete information
  • Keep your account credentials secure and confidential
  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Not create multiple accounts or transfer your account to another person
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. Seedly reserves the right to suspend or terminate accounts that violate these Terms.

For Backers

When you back a campaign on Seedly, you agree to the following:

  • Pledges are commitments. When you back a campaign, you commit to providing the pledged amount if the campaign reaches its funding threshold.
  • Perks are offered by creators. Seedly does not guarantee the delivery of perks. Perks are the responsibility of the campaign creator.
  • Consumption credits. Backers receive consumption credits equal to 50% of their pledge amount, redeemable at the venue once it opens.
  • Crowdfunding carries risk. Venues may face delays, changes, or in rare cases may not open. By backing a campaign, you acknowledge this inherent risk.

For Campaign Creators

When you create a campaign on Seedly, you agree to the following:

  • Accurate representation. All campaign information, including venue details, funding goals, and timelines, must be truthful and accurate.
  • Funding threshold. A campaign is considered successful when it reaches at least 80% of its target amount. Campaigns are capped at 120% of the target.
  • Fulfill your obligations. If your campaign is funded, you are obligated to deliver on the perks promised to backers and to make reasonable efforts to open the venue.
  • Communication. Keep your backers informed about the progress of your project. Regular updates are expected and encouraged.
  • Review process. All campaigns go through a review process before going live. Seedly reserves the right to reject campaigns that do not meet our quality standards or community guidelines.

Payments & Refunds

  • Payment processing. Payments are processed securely through Stripe. Seedly does not store your full payment details.
  • When you are charged. Your payment method is charged when you confirm your pledge. If the campaign does not reach its 80% funding threshold, your pledge is refunded in full.
  • Platform fees. Seedly charges a platform fee on successfully funded campaigns. This fee is deducted from the funds before they are transferred to the creator.
  • Refunds. If a campaign fails to reach its funding threshold, all backers are refunded automatically. For funded campaigns, refunds are handled on a case-by-case basis. Contact us at hello@seedly.brussels for refund requests.

Content & Intellectual Property

Your content. You retain ownership of all content you submit to the Platform (text, images, videos). By posting content, you grant Seedly a non-exclusive, worldwide license to display, distribute, and promote your content in connection with the Platform and its marketing.

Our content. The Seedly name, logo, design, and all Platform features are the intellectual property of Seedly. You may not copy, modify, or distribute any part of the Platform without our written permission.

Responsibility for content. You are solely responsible for the content you post. Content must not infringe on the rights of others, contain false information, or violate any applicable laws.

Prohibited Conduct

You agree not to:

  • Create fraudulent campaigns or provide misleading information
  • Use the Platform for money laundering or any illegal activity
  • Harass, abuse, or threaten other users
  • Interfere with the Platform's security or functionality
  • Scrape, crawl, or use automated tools to extract data from the Platform
  • Impersonate another person or entity
  • Use the Platform to promote unrelated products or services

Violation of these rules may result in immediate account suspension or termination.

Limitation of Liability

Seedly provides the Platform "as is" and makes no warranties, express or implied, regarding the Platform's availability, reliability, or fitness for a particular purpose.

To the maximum extent permitted by law, Seedly shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. This includes, but is not limited to, loss of profits, data, or business opportunities.

Seedly is not responsible for the actions, content, or obligations of campaign creators or backers. Any disputes between users should be resolved directly between the parties involved, though Seedly may assist in mediation at its discretion.

Governing Law

These Terms are governed by and construed in accordance with the laws of Belgium. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

If you are a consumer within the European Union, you also benefit from mandatory consumer protection provisions of the law of the country in which you reside. Additionally, you may use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms.
